1. Definitions

In these Terms:

• "Services" means all products, services, and websites provided by SellPath.
• "Content" means text, graphics, images, music, software, audio, video, and other materials.
• "User Content" means Content that users submit or transmit through our Services.
• "AI" means artificial intelligence systems and algorithms used by SellPath.

3. What These Terms Cover

These Terms apply to all SellPath services, including our web app, APIs, and integrations (such as Gmail, Google Drive, Microsoft 365, Salesforce, HubSpot, and others).

4. Who Can Use SellPath

You must be at least 18 years old to use our services. Because SellPath can access email and drive integrations, we require all users to be adults.

5. Using Our Services

• Use SellPath only as intended and follow all laws.
• Do not use SellPath for illegal, harmful, or abusive activities.
• You are responsible for your account and anything done using it.

AI Disclaimer: SellPath uses artificial intelligence (AI) to assist users. The AI may generate responses that are inaccurate, incomplete, or inappropriate. SellPath does not guarantee the accuracy or reliability of any AI-generated content and is not responsible for actions taken based on AI output. Do not rely on SellPath for legal, medical, financial, or other professional advice.

When using SellPath, you are interacting with an AI system. The AI may not always understand context or nuance, and its responses are generated automatically.

6. Payments and Subscriptions

• All payments are final for services already used.
• If you cancel an annual subscription partway through, you will receive a prorated refund based on the monthly rate for unused months.
• No refunds for the portion of the service already used.
• Prices and subscription terms are subject to change with notice.
• You are responsible for any applicable taxes.

7. Intellectual Property & Your Data

SellPath owns or licenses all content and technology in our services. You may use SellPath for your own business purposes, but you may not copy, resell, or misuse our content or technology.
You retain ownership of the data you input into SellPath and any output generated for you. SellPath may use anonymized and aggregated data to improve its services. Do not input sensitive or regulated data (such as health or financial information) unless the service is certified for such use.

8. Prohibited Uses

• Do not use SellPath's AI to generate harmful, illegal, or misleading content.
• Do not use SellPath to control or operate critical infrastructure or life-support systems.
• Do not use SellPath to make decisions that could result in harm to people or property.
• Do not use SellPath in violation of any law or regulation, or for any purpose not intended by SellPath.

9. Service Availability

SellPath may be interrupted, updated, or discontinued at any time. We do not guarantee uninterrupted service or support unless specified in a separate agreement.

10. Limitation of Liability

To the fullest extent allowed by law, SellPath's liability is limited to the amount you paid for the service. SellPath is not responsible for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold SellPath harmless from any claims, damages, or losses arising from your use of our services or your violation of these Terms.

12. Changes to These Terms

We may update these Terms at any time. Updates will be posted on our website and in product release notes. Your continued use means you accept the updated Terms.

13. Third-Party Services

SellPath integrates with third-party services (like Google, Microsoft, Salesforce, HubSpot, etc.). SellPath is not responsible or liable for any issues, damages, or losses caused by third-party services.

14. Export Controls

You may not use SellPath in violation of export laws or if you are subject to sanctions.

15. Governing Law

These Terms are governed by the laws of California, United States.

16. Dispute Resolution and Arbitration

Any dispute arising from these Terms or your use of our services will be resolved through binding arbitration, not in court. Arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). You agree to waive your right to a jury trial.

17. Class Action Waiver

You agree to resolve any disputes with SellPath on an individual basis. You may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

18. Severability

If any part of these Terms is found to be unenforceable, the remaining parts will continue to be in full force and effect.

19. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

20. Force Majeure

We will not be liable for any failure or delay in performance of our obligations if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, labor disputes, governmental actions, or internet or telecommunication failures.

21. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

22. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of SellPath.

23. Electronic Communications

You consent to receive communications from us electronically, such as emails, text messages, or notices on our website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

24. Survival

The following sections shall survive termination of these Terms: 6 (Payments and Subscriptions), 7 (Intellectual Property & Your Data), 10 (Limitation of Liability), 11 (Indemnification), 14 (Export Controls), 15 (Governing Law), 16 (Dispute Resolution and Arbitration), 17 (Class Action Waiver), 18 (Severability), 21 (Assignment), 22 (No Waiver), 23 (Electronic Communications), and any other provisions that by their nature should reasonably survive.
